Terms of use

Last updated:

These Terms and Conditions (“Terms”) govern access to and use of the Lilaflow website, software, browser extension and related services (together, the “Service”).

Lilaflow is operated by:

LILAFLOW.IO LIMITED
Company number: 17397634
Registered office: Brulimar House, Jubilee Road, Middleton, Manchester, M24 2LX

References to “Lilaflow”, “we”, “us” or “our” mean LILAFLOW.IO LIMITED.

References to “you”, “your” or “Customer” mean the individual, company or organisation accessing or using the Service.

By creating an account, purchasing a subscription, accepting an order form or otherwise using the Service, you agree to these Terms.

1. Business use only

Lilaflow is intended for business and professional use.

You may only use the Service in connection with a trade, business, craft or profession and not primarily for personal, family or household purposes.

You must be at least 18 years old and legally capable of entering into a binding agreement.

If you use Lilaflow on behalf of a company or other organisation, you confirm that you have authority to bind that organisation to these Terms.

In that case, references to “you” and “Customer” include that organisation.

2. The Lilaflow Service

Lilaflow provides software designed to support business development, prospecting and professional outreach.

Features may include:

  • campaign management;

  • prospect and audience management;

  • daily outreach workflows;

  • connection and messaging queues;

  • personalised message preparation;

  • AI-assisted message generation;

  • conversation and activity tracking;

  • campaign reporting;

  • team management;

  • campaign settings;

  • browser-based access to Lilaflow; and

  • other related functionality that we introduce from time to time.

The exact features available may depend on your account, plan, subscription or beta access.

Lilaflow is a workflow and productivity platform. Unless expressly agreed otherwise in writing, we do not carry out outreach on your behalf and do not act as your agent when you communicate with prospects.

You remain responsible for deciding who to contact, reviewing communications and deciding whether and when communications should be sent.

3. Accounts

You may need an account to use some or all of the Service.

You agree to provide accurate information when creating an account and to keep account information reasonably up to date.

You are responsible for:

  • maintaining the confidentiality of login credentials;

  • activity carried out through your account;

  • ensuring authorised users comply with these Terms;

  • controlling access by members of your organisation; and

  • notifying us if you become aware of unauthorised access.

You must not share an individual account in a way that circumvents account limits or subscription requirements.

We may require users to verify their identity or email address or take other reasonable security steps.

4. Customer administrators and team accounts

Where a Customer account allows multiple users, the Customer may appoint administrators who can manage users, campaigns, settings and permissions.

The Customer is responsible for actions taken by its authorised users.

Administrators may be able to access information associated with users within their organisation, including campaign activity and performance information.

If your access has been provided by an employer or another organisation, that organisation may control your account and access to information held within it.

5. Acceptable use

You must use Lilaflow lawfully and responsibly.

You must not use the Service:

  • for unlawful, fraudulent or deceptive activity;

  • to harass, threaten or abuse another person;

  • to send communications that are unlawful or knowingly misleading;

  • to impersonate another person or organisation;

  • to distribute malware or malicious code;

  • to interfere with the security or operation of the Service;

  • to gain unauthorised access to accounts, systems or information;

  • to attempt to reverse engineer the Service except where applicable law expressly permits it;

  • to circumvent usage, account or technical restrictions;

  • to use the Service in a manner that infringes intellectual property, privacy or other rights;

  • to process information that you are not legally entitled to use;

  • to knowingly provide false or materially misleading information; or

  • in a way that could reasonably damage Lilaflow, our infrastructure, our users or our reputation.

You must not use Lilaflow to facilitate spam or indiscriminate mass messaging.

We may introduce reasonable technical limits designed to protect the security, reliability or appropriate use of the Service.

6. Outreach and your responsibilities

Lilaflow helps users organise and prepare professional outreach, but you remain responsible for the outreach you carry out.

You are responsible for ensuring that your use of the Service and your communications comply with applicable laws and regulations, including relevant:

  • data protection laws;

  • privacy laws;

  • direct marketing rules;

  • electronic communications rules;

  • advertising requirements; and

  • industry-specific requirements that apply to your organisation.

You are also responsible for the accuracy and appropriateness of claims made in your communications.

Lilaflow does not guarantee that a particular communication, campaign or method of outreach is lawful in every jurisdiction or in every circumstance.

If you contact individuals outside the United Kingdom, you are responsible for considering any additional rules applicable in the recipient's jurisdiction.

7. Third-party platforms

Lilaflow may be used alongside third-party websites and services, including professional networking, email, CRM and other business platforms.

Lilaflow is independent from those services unless expressly stated otherwise.

You are responsible for complying with the terms and policies of third-party services you choose to use.

We cannot control and are not responsible for:

  • changes made by a third-party platform;

  • changes to third-party terms or policies;

  • changes to functionality available through a third party;

  • account restrictions imposed by another service;

  • suspension or termination of a third-party account;

  • outages affecting another service; or

  • decisions made by another platform concerning your use of its service.

The availability of a Lilaflow feature that works alongside a third-party service does not constitute a guarantee that the third party permits every intended use.

8. Lilaflow browser extension

Lilaflow may make a browser extension available to provide convenient access to the Lilaflow application.

The extension currently operates as a browser-based wrapper for the Lilaflow application.

It does not itself extract information from websites visited by the user, read private messages on third-party websites, obtain third-party passwords or access third-party authentication credentials.

We may modify the extension as Lilaflow develops. If its data access materially changes, we will update the appropriate documentation and permissions.

9. Prospect and business information

Lilaflow may allow professional and business information about prospects to be imported, uploaded, entered, researched, organised or otherwise processed through the Service.

Information may originate from:

  • the Customer;

  • authorised users;

  • business information providers;

  • publicly available information;

  • professional profiles;

  • company websites;

  • web-based business research; or

  • other lawful sources.

Lilaflow may use third-party services to obtain, verify, structure or enrich business information.

We do not guarantee that third-party or publicly available information will always be complete, accurate or current.

Users should verify information where accuracy is important to their intended use.

10. Customer Data

“Customer Data” means information, content, instructions, files, campaign information or other material submitted to the Service by or on behalf of a Customer.

You retain ownership of Customer Data.

You grant Lilaflow a non-exclusive licence to host, copy, process, transmit, display, modify where technically necessary and otherwise use Customer Data to the extent required to:

  • provide the Service;

  • operate requested functionality;

  • provide support;

  • maintain security;

  • prevent misuse; and

  • comply with applicable law.

This licence lasts for as long as necessary to provide the Service and fulfil our obligations under these Terms.

You confirm that you have the rights and permissions reasonably necessary for us to process Customer Data as contemplated by these Terms.

11. Data protection

Each party must comply with the data protection laws that apply to it.

Our collection and use of personal information for our own purposes is further described in the Lilaflow Privacy Policy.

The parties' respective roles as controller or processor depend on the particular processing activity and are determined by applicable data protection law rather than solely by the terminology used in these Terms.

Where Lilaflow processes personal information solely on documented instructions from a Customer, the additional data processing provisions in section 12 apply.

12. Data processing provisions

To the extent that Lilaflow acts as a processor of personal information on behalf of a Customer, this section forms part of the agreement between Lilaflow and the Customer.

12.1 Details of processing

The subject matter of the processing is the provision of the Lilaflow Service.

Processing may continue for the duration of the Customer's use of the Service and for any limited period afterwards required to return, securely delete, back up or otherwise lawfully handle the information.

The nature and purpose of the processing may include:

  • receiving;

  • hosting;

  • storing;

  • organising;

  • structuring;

  • retrieving;

  • displaying;

  • analysing;

  • transmitting;

  • generating communications from; and

  • deleting Customer Personal Data,

in each case as necessary to provide the Service.

The types of personal information may include:

  • names;

  • business contact information;

  • job titles;

  • employers;

  • professional profile information;

  • professional URLs;

  • campaign information;

  • notes;

  • communications;

  • outreach status;

  • activity information; and

  • other professional information supplied through the Service.

Data subjects may include:

  • Customer personnel;

  • prospects;

  • business contacts;

  • customers of the Customer; and

  • other individuals whose information the Customer chooses to process using Lilaflow.

12.2 Customer instructions

Lilaflow will process Customer Personal Data only on the Customer's documented instructions unless required to do otherwise by applicable law.

Use of the Service in accordance with these Terms constitutes documented instructions to process information as necessary to provide the Service.

12.3 Confidentiality

Lilaflow will ensure that personnel authorised to process Customer Personal Data are subject to appropriate confidentiality obligations.

12.4 Security

Lilaflow will maintain appropriate technical and organisational measures designed to protect Customer Personal Data against accidental or unlawful destruction, loss, alteration, unauthorised disclosure or access.

Security measures will be proportionate to the nature of the information and the risks associated with processing it.

12.5 Service providers and subprocessors

The Customer gives Lilaflow general authorisation to use appropriate third-party service providers and subprocessors where reasonably necessary to operate the Service.

These may include providers of hosting, infrastructure, storage, authentication, communications, payments, artificial intelligence, analytics, security and related technology.

Where a subprocessor processes Customer Personal Data on our behalf, we will put appropriate contractual data protection obligations in place.

We remain responsible for our obligations concerning processing carried out on our behalf by subprocessors as required by applicable law.

12.6 Individual rights

Taking into account the nature of the processing, we will provide reasonable assistance to help the Customer respond to requests from individuals exercising applicable data protection rights.

12.7 Security incidents

We will notify the Customer without undue delay if we become aware of a personal data breach affecting Customer Personal Data where notification to the Customer is required by applicable data protection law.

12.8 Compliance assistance

Taking into account the nature of processing and information available to us, we will provide reasonable assistance with applicable obligations concerning:

  • security;

  • personal data breaches;

  • data protection impact assessments; and

  • regulatory consultation,

where required by applicable data protection law.

12.9 International transfers

Where Customer Personal Data is transferred internationally in circumstances requiring a transfer mechanism under UK data protection law, we will use an appropriate lawful safeguard.

12.10 End of processing

At the end of the relevant processing services, Customer Personal Data for which Lilaflow acts solely as processor will be returned or deleted in accordance with the Customer's instructions and applicable law, subject to information that we are legally required to retain.

Data may remain temporarily within secure backup systems until it is overwritten or deleted in accordance with normal backup cycles.

12.11 Compliance information

We will make available information reasonably necessary to demonstrate compliance with our processor obligations.

Where legally required, we will permit reasonable audits relating specifically to those obligations, subject to appropriate confidentiality, security and operational safeguards.

Unless required following a significant security incident or by a regulator, audits should normally be requested on reasonable notice and no more than once in any 12-month period.

13. Artificial intelligence

Lilaflow may use artificial intelligence and machine-learning technology to assist with functionality such as generating or improving personalised communications.

AI-generated material may be inaccurate, incomplete or unsuitable.

You must review AI-generated content before using or sending it.

You remain responsible for:

  • determining whether generated content is appropriate;

  • checking material facts;

  • correcting inaccuracies;

  • ensuring communications comply with applicable law; and

  • deciding whether a message should be sent.

Lilaflow does not guarantee that AI-generated content will be unique.

Similar or identical output may be produced for different users, particularly where similar instructions or information are provided.

You must not rely on AI-generated material as legal, financial, regulatory or other professional advice.

14. No guarantee of campaign results

Lilaflow provides software and workflow tools. We do not guarantee any particular commercial result.

In particular, we do not guarantee:

  • connection acceptance rates;

  • response rates;

  • numbers of conversations;

  • meetings;

  • sales;

  • opportunities;

  • revenue;

  • return on investment;

  • accuracy of prospect information;

  • that a prospect will be interested in an offer; or

  • that a particular outreach strategy will succeed.

Results depend on numerous factors outside our control, including targeting, messaging, market conditions, the Customer's offer, sender reputation and recipient behaviour.

Performance information displayed within Lilaflow is intended to help users understand campaign activity and should not be treated as a guarantee of future performance.

15. Intellectual property

Lilaflow and its licensors own all intellectual property rights in the Service, including its:

  • software;

  • source code;

  • interfaces;

  • designs;

  • branding;

  • logos;

  • databases;

  • platform structure;

  • documentation; and

  • proprietary functionality.

Except for the limited right to use the Service under these Terms, no intellectual property rights are transferred to you.

You may not copy, resell, sublicense, reproduce or commercially exploit the Service except where expressly authorised by us.

16. Feedback

If you voluntarily provide suggestions, ideas, feature requests or other feedback about Lilaflow, you permit us to use that feedback without restriction or payment to you.

This does not give us ownership of confidential information or Customer Data contained within the feedback.

17. Testimonials

We will not publicly identify you or your organisation as a Customer or publish a testimonial attributed to you without appropriate permission.

Where you explicitly provide a testimonial or authorise its publication, you grant us a non-exclusive, royalty-free licence to reproduce, edit for formatting or length, publish and display it for marketing and promotional purposes.

You can ask us to stop using a testimonial in future materials by contacting us, although this may not require us to withdraw materials already produced or distributed.

18. Confidentiality

Each party may receive confidential information relating to the other party's business, technology, customers or operations.

Each party agrees to:

  • use confidential information only as necessary for the relationship between the parties;

  • take reasonable steps to keep it confidential; and

  • disclose it only to personnel, advisers and service providers who need to know it and are subject to appropriate confidentiality obligations.

These obligations do not apply to information that:

  • is or becomes public other than through a breach of these Terms;

  • was already lawfully known to the receiving party;

  • is lawfully obtained from another source without confidentiality restrictions; or

  • is independently developed without using the other party's confidential information.

A party may disclose confidential information where required by law or a competent authority.

19. Fees and subscriptions

Some Lilaflow services may be provided for a fee.

The applicable fees, billing period and subscription terms will be displayed at the point of purchase, set out in an order form or otherwise agreed in writing.

Unless stated otherwise:

  • fees are payable in advance;

  • fees are exclusive of VAT and other applicable taxes;

  • the Customer is responsible for applicable taxes;

  • payments are non-refundable once the relevant billing period has started; and

  • failure to pay amounts when due may result in suspension of the Service.

Where a subscription automatically renews, this will be communicated as part of the relevant purchasing or subscription process.

A Customer may cancel a renewing subscription in accordance with the cancellation method made available through Lilaflow or agreed with us. Unless otherwise agreed, cancellation takes effect at the end of the current paid billing period.

We may change pricing for future subscription periods by giving reasonable notice.

20. Free trials, beta access and free services

We may provide trials, beta access, previews or free versions of the Service.

These may be:

  • changed;

  • restricted;

  • suspended;

  • discontinued; or

  • converted into paid functionality.

Beta and preview features may contain errors, be incomplete or change substantially before general release.

Unless we expressly agree otherwise, beta, preview and free services do not include any guaranteed service level or availability commitment.

The fact that a feature is available during a beta period does not guarantee that it will remain available or remain free.

21. Availability and changes to the Service

We aim to provide a reliable service but do not guarantee that Lilaflow will always be available without interruption or error.

We may carry out:

  • maintenance;

  • security updates;

  • infrastructure changes;

  • feature changes; and

  • emergency work.

We may add, remove or change features where reasonably necessary to develop, maintain or secure the Service.

Where a material change would substantially reduce the core functionality of a paid Service during an existing subscription period, we will take reasonable steps to notify affected Customers.

22. Data availability and backups

We take reasonable measures to protect information processed through Lilaflow.

However, no online service can guarantee that information will never be lost or corrupted.

You should keep separate copies of information that is critical to your business where it would be unreasonable to rely solely on Lilaflow as the only record.

23. Suspension

We may suspend or restrict access to some or all of the Service where reasonably necessary because:

  • you have materially breached these Terms;

  • fees are overdue;

  • we reasonably suspect fraud or unlawful activity;

  • continued use creates a security risk;

  • your use risks harming the Service or other users;

  • we are required to do so by law or a competent authority; or

  • suspension is reasonably necessary to protect Lilaflow or a third party.

Where reasonably practicable, we will give notice and an opportunity to remedy the issue before suspending an account.

We may act immediately where the issue is urgent, unlawful or presents a material security or operational risk.

24. Termination

You may stop using Lilaflow at any time.

Paid subscriptions may be terminated in accordance with the applicable subscription, order form or cancellation terms.

We may terminate an account or agreement where:

  • you materially breach these Terms and, where the breach is capable of remedy, do not remedy it within a reasonable period after being asked to do so;

  • you fail to pay fees when due;

  • you use the Service unlawfully;

  • continued provision of the Service would expose us to material legal or security risk; or

  • we discontinue the Service.

Termination does not affect rights or obligations that arose before termination.

Provisions which by their nature are intended to continue after termination will survive, including provisions concerning intellectual property, confidentiality, liability and accrued payment obligations.

25. Effect of termination on information

Following termination, access to Customer Data may cease.

Where Lilaflow acts as a processor, Customer Personal Data will be handled in accordance with section 12.

For information for which Lilaflow acts as a controller, retention will be governed by our Privacy Policy and applicable law.

Customers should export any information they reasonably require before their account closes where export functionality is available.

We are not required to retain account access indefinitely after termination.

26. Warranties and disclaimers

We will provide the Service with reasonable care and skill.

Subject to that obligation and to the maximum extent permitted by law, the Service is provided on an “as available” basis.

We do not warrant that:

  • the Service will be uninterrupted;

  • every feature will always be available;

  • the Service will be entirely free from bugs or errors;

  • third-party information will always be accurate;

  • AI output will always be correct;

  • use of the Service will satisfy every Customer's particular requirements; or

  • use of Lilaflow will produce a particular commercial outcome.

Nothing in these Terms limits any warranty or obligation that cannot lawfully be excluded.

27. Limitation of liability

Nothing in these Terms excludes or limits liability for:

  • death or personal injury caused by negligence;

  • fraud or fraudulent misrepresentation; or

  • any other liability that cannot legally be excluded or limited.

Subject to the above, Lilaflow will not be liable for:

  • loss of profit;

  • loss of revenue;

  • loss of sales;

  • loss of business;

  • loss of anticipated savings;

  • loss of opportunity;

  • loss of goodwill;

  • loss arising from third-party platform restrictions;

  • loss arising from inaccurate third-party data; or

  • indirect or consequential loss,

arising out of or in connection with the Service.

Subject to the liabilities that cannot legally be limited, Lilaflow's total aggregate liability arising out of or in connection with the Service during any 12-month period will not exceed the total fees paid or payable by the Customer to Lilaflow during the 12 months immediately preceding the event giving rise to the claim.

For a Customer using the Service entirely free of charge, Lilaflow's total aggregate liability will not exceed £100.

The limitations in this section apply whether liability arises in contract, tort, negligence, breach of statutory duty or otherwise.

28. Customer responsibility and indemnity

You are responsible for your use of Lilaflow and for communications sent as part of your outreach.

You agree to indemnify Lilaflow against reasonable losses, liabilities, damages and costs arising from a third-party claim to the extent that the claim results from:

  • Customer Data that infringes another person's rights;

  • unlawful outreach carried out by you;

  • your material breach of applicable data protection or direct marketing law;

  • your material breach of a third-party platform's terms; or

  • your fraudulent or deliberately unlawful use of the Service.

This indemnity will not apply to the extent that the relevant claim was caused by Lilaflow's own breach of these Terms or applicable law.

29. Third-party links

The Service may contain links to third-party websites.

These links are provided for convenience and do not mean that Lilaflow endorses or controls those websites.

We are not responsible for the availability, content, security or privacy practices of independent third-party websites.

30. Events outside our control

Neither party will be liable for failure or delay in performing an obligation where the failure or delay results from circumstances outside its reasonable control.

This may include widespread internet or telecommunications failures, hosting infrastructure failures, cyberattacks, acts of government, industrial disputes, natural disasters, power failures or similar events.

This section does not excuse payment obligations for services already provided.

31. Changes to these Terms

We may update these Terms from time to time.

For minor changes, we may update the version published on our website.

If we make a material change affecting an existing paid Customer's rights or obligations, we will take reasonable steps to provide notice before the change takes effect.

Changes may take effect immediately where reasonably necessary to comply with law, respond to an urgent security issue or prevent abuse.

Your continued use of the Service after updated Terms take effect constitutes acceptance of the revised Terms.

If you do not agree to a material change, you should stop using the Service and, where applicable, cancel your subscription.

32. Order forms and separate agreements

A Customer may enter into an order form, proposal or other written agreement with Lilaflow.

Where an expressly agreed term of an order form conflicts with these Terms, the order form will take priority to the extent of that conflict.

Any separate data processing agreement between the parties will take priority over section 12 to the extent that it expressly addresses the same subject matter.

33. Assignment

You may not transfer your rights or obligations under these Terms without our prior written consent, which will not be unreasonably withheld in connection with a genuine corporate reorganisation or sale of substantially all of your business.

We may transfer our rights and obligations as part of a merger, restructuring, financing, acquisition or sale of Lilaflow or substantially all of the relevant business, provided this does not materially reduce your rights under these Terms.

34. No partnership or agency

Nothing in these Terms creates a partnership, joint venture, employment relationship or agency between you and Lilaflow.

Neither party has authority to bind the other unless expressly agreed in writing.

35. Entire agreement

These Terms, together with any applicable order form, Privacy Policy and expressly incorporated agreement, constitute the agreement between the parties relating to the Service.

Each party acknowledges that it has not relied on a statement not contained in those documents when entering into the agreement, except that nothing in this section limits liability for fraud or fraudulent misrepresentation.

36. Waiver and severability

If we do not enforce a provision of these Terms immediately, this does not waive our right to enforce it later.

If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect.

The invalid provision will be treated as modified to the minimum extent necessary to make it valid where legally possible.

37. Third-party rights

Unless these Terms expressly state otherwise, a person who is not a party to the agreement has no right to enforce its terms.

38. Governing law and jurisdiction

These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales.

The courts of England and Wales will have exclusive jurisdiction over disputes arising out of or in connection with these Terms.
